    Founded in 2005, Reed and Giordano, P.A. is a Boston-based boutique law firm representing businesses, hedge funds, banks, broker-dealers, and corporations. Our unique approach to the practice of law becomes part of our clients’ overall business strategy. Commercial & Civil Litigation

We have represented clients in a wide variety of civil disputes, including complex commercial and civil litigation. Our attorneys are efficient and cost-effective in resolving disputes for a broad range of business clients from across the U.S. The Firm has represented clients in a variety of federal and state courts including the Eastern and Southern District of New York, the Southern District of California, and the Eastern District of Wisconsin. If necessary, we work with local counsel to assist in litigation in various jurisdictions around the country. With our expertise, background, and education, our attorneys are qualified to represent clients in full range civil litigation in state and federal courts, including arbitration. Philip M. Giordano, Esq. is a former SEC staff attorney and federal prosecutor, with a wealth of experience in complex securities and commercial litigation.

Our attorneys have a wide range of experience in civil matters, including, but not limited to: minority shareholder disputes, "freeze-outs", asset purchases, the purchase and sale of securities, employment law, and business disputes. Our attorneys have handled a number of employment and intellectual property issues, involving licensing, infringement, proprietary rights, and trade secrets.

Medical Malpractice

Our Firm has a long track record of accomplishment in cases involving personal injury, wrongful death and civil litigation. Our attorneys have vast experience in medical malpractice, motor vehicle accidents, premises liability, product liability, wrongful death, and professional malpractice cases. Our attorneys generally focus on the side of the injured victim; we do not typically represent insurance companies, hospitals, doctors, manufacturers, government, or large corporations.

Securities & FINRA Arbitrations

Our Firm has extensive experience representing individual investors in their claims against brokerages for stockbroker, securities, commodities, underwriter and investment fraud in FINRA securities arbitrations and mediations. We specialize in cases involving potential investment fraud, lack of suitability, misrepresentation, theft, negligence, churning and faulty investment products.

Intellectual Property

Our attorneys recognize that a company’s greatest assets are often intangible - its valuation is uniquely and critically dependent upon inventions, ideas, and improvements. Our practice is specifically designed to assist startup companies throughout their development stage in practical and cost-effective ways in order to meet their needs to protect their intellectual property.

Employment Law

Reed & Giordano, P.A. represents employers and individuals in varying industries who are dealing with wage claims, workplace discrimination, harassment, or wrongful termination. Our attorneys are skilled in the preparation and drafting of employment manuals, work-for-hire agreements, non-disclosure agreements (NDA's), non-solicitation agreements, and non-competition agreements.

Commercial Leases & Real Estate

Our Firm manages all aspects of the commercial real estate litigation and landlord/tenant relationships. Our services include drafting, negotiation, and documentation. Specializing in retail, downtown office buildings, and industrial spaces, we have negotiated leases for landlords and business tenants throughout the Commonwealth of Massachusetts.

  • Philip M. Giordano
    Partner

    Attorney Giordano started his career in the Enforcement Division of the U.S. Securities and Exchange Commission (SEC), in its New York Regional Office. There, he participated in civil and administrative actions against broker-dealers and registered representatives for violations of federal securities laws; and conducted discovery and administrative investigations.

    After his employment with the SEC in New York City, between the 1980’s and the early 1990’s, he worked as a Special Assistant U.S. Attorney in the U.S. Attorney’s Office in the District of New Jersey where he investigated and prosecuted federal criminal matters with a concentration on federal securities fraud violations; presented evidence and witnesses before the U.S. Grand Jury.

    Attorney Giordano entered private practice in the Commonwealth of Massachusetts in early 1990’s and acted as principal in various law firms for over three decades.  In May 2005, Attorney Giordano along with Attorney Reed opened their law firm, Reed & Giordano, P.A.

    Attorney Giordano deals with various areas of commercial and complex litigation, securities litigation, arbitration and many more. He has over thirty years of experience representing businesses and individuals in a wide variety of legal disputes and transactions. Attorney Giordano is experienced in all phases of civil and commercial litigation, including trial and appellate practice in state and federal courts. Attorney Giordano is experienced in representing both individuals and companies in complex commercial matters, including shareholder disputes, buyouts, fraud and claims involving breach of fiduciary duty.

  • Thomas Bockhorst
    Of Counsel

    Thomas Bockhorst is Of Counsel with Reed & Giordano.  Mr. Bockhorst has been an attorney since 1993. He has ten years of experience in private practice, both litigating business, securities, and employment disputes and advising on and negotiating business transactions, including securities purchase agreements, asset acquisitions, executive employment agreements, and commercial leases.  He has tried cases in federal and state courts, before administrative agencies, and in arbitration. 

    In between his stints in private practice, Mr. Bockhorst has practiced for fifteen years as in-house counsel to two different business, first as Senior Counsel to a recognized consumer products company and then as General Counsel for a registered investment adviser and investment consulting firm.  He managed a full range of issues for these entities, including regulatory compliance (securities and otherwise),negotiating terms and side letter provisions for investments in private funds and private placements, negotiating customer and vendor contracts and other business agreements, and advising on commodity derivative transactions, advertising and marketing compliance, and sweepstakes and promotions matters, as well as employment advice and trademark and copyright licensing and registration matters. 

    Mr. Bockhorst also has nine years of significant finance experience, including five years managing the cash flow and treasury operations of a recognized consumer products company and four years auditing public and charitable entities with a Big Four public accounting firm.

  • Derek Glover
    Associate

    Derek joined Reed & Giordano in July of 2020. Prior to joining the firm, Attorney Glover worked as an associate in a small general practice firm with a focus on personal injury and residential real estate.

    Attorney Glover obtained his Juris Doctorate Degree from Suffolk University and has been licensed to practice law in the Commonwealth of Massachusetts since 2011.

    Associate

    Breanna Troutman is an associate attorney at Reed & Giordano. She graduated from New England Law here in Boston, Massachusetts. While in law school, Breanna focused on risk management, business, and cannabis law. While in school, she recieved a certificate in risk management, cannabis, and business compliance. Prior to working at Reed & Giordano, she worked in criminal defense, fraud, false claims, and healthcare law.

  • Julian Frare
    Associate Pending Bar Admission 2023

    Julian Frare graduated from Boston College Law School in May 2023. During his time, Attorney Frare gained extensive experience in litigation concerning family, business, and contract matters. Attorney Frare was born and raised in Suffield, CT and attended undergrad at Quinnipiac University, where he majored in both legal studies and philosophy. Besides the law, Attorney Frare loves to run, hike, and play soccer. You can often find him walking the Chestnut Hill reservoir with his German shepherd, Zelda. He is excited to begin his formal legal career at our office starting in September 2023.
